Terms of Service

These Terms of Service ("Terms") govern your access to and use of Siglock - the software licensing and authentication platform available at siglock.dev and auth.siglock.dev, including its APIs, SDKs, dashboards and related services (together, the "Service"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. The three parties
Siglock is built around three roles, and these Terms use them throughout:
- Siglock ("we", "us") - the operator of the platform.
- Vendor ("you") - a developer or business that creates a Siglock account and uses the Service to license, protect and sell their own software.
- End User - a Vendor's customer, who activates a license key or account inside the Vendor's software or through a Vendor's (optionally white-labelled) customer portal.
Your contract is with us. An End User's purchase, license and support relationship is with their Vendor, not with Siglock - we provide the licensing infrastructure the Vendor uses.
2. Your account
- You must provide accurate account information and keep your credentials confidential. We strongly recommend enabling two-factor authentication.
- You are responsible for everything done under your account, including by team members, sub-accounts and resellers you create, and by anyone using your API keys.
- Keep your secrets secret: your Seller API key and any platform credentials must only be used server-side. We are not responsible for loss caused by leaked credentials.
3. Plans, billing and refunds
- Paid plans are billed in advance, monthly or yearly, via our payment processor Stripe. We do not store your card details.
- Subscriptions renew automatically until cancelled. You can cancel any time from the billing page; your plan remains active until the end of the paid period, then reverts to the Free plan. Downgrading may re-impose Free-plan limits on your account.
- Except where required by law, fees are non-refundable. Prices may change with reasonable advance notice; changes apply from your next billing period.
- You are responsible for any taxes applicable to your purchases.
4. Acceptable use
You may only use Siglock to license lawful software you have the right to distribute. You must not use the Service to license, distribute, or facilitate:
- malware, spyware, stalkerware, ransomware or any software designed to harm users or third parties;
- software whose primary purpose is to circumvent the security, integrity or terms of service of third-party software, games or services (including game cheats, account-cracking or credential-stuffing tools);
- software or content that infringes intellectual-property or other rights, or that violates applicable law or sanctions;
- spam, fraud, or deceptive schemes.
You also must not: probe, overload or disrupt the Service; attempt to bypass plan limits, rate limits or security controls; resell the Service itself as your own licensing platform; or reverse engineer the platform (the SDKs are provided openly for integration into your applications).
We may suspend or terminate accounts that violate this section, with immediate effect for serious abuse.
5. Your software, files and End User relationships
- Siglock hosts none of your files. File distribution is link-based: you provide download URLs that you host and control, and we gate access to those links based on license entitlements. You are solely responsible for the content, legality and safety of everything you distribute.
- You are responsible for your End Users: your product's quality, pricing, refunds, support, and your own terms and privacy policy toward them.
- Where you use white-label features (your brand, your domain), you remain fully responsible for what is presented under your brand.
- We process End User data (such as license keys, device identifiers and activity) on your behalf to operate the licensing service - see our Privacy Policy.
6. Intellectual property
We own the Service, including the platform, dashboards and documentation. You own your software, your content and your data. We grant you a non-exclusive, non-transferable right to integrate the Siglock SDKs into your applications for the purpose of using the Service. You grant us the limited rights needed to operate the Service for you (for example, storing your branding and serving your portal).
7. Availability, changes and data export
- We aim for high availability but the Service is provided without a guaranteed uptime SLA (Enterprise arrangements may differ by separate agreement). Use features like offline activation grace periods to make your applications resilient.
- We may improve, change or discontinue features with reasonable notice where the change is material.
- You can export your license keys and end-user records from the dashboard at any time. If you close your account, export first - see below.
8. Suspension and termination
- You may stop using the Service and close your account at any time.
- We may suspend or terminate your account for breach of these Terms, non-payment, legal requirement, or serious risk to the Service or others. Where practical, we will notify you and give you a chance to remedy.
- Important: if your account is terminated or deleted, license verification for your applications stops working - your End Users' copies may no longer activate. Plan for this: export your data and migrate before closing an account that has active End Users.
9. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. No licensing or anti-piracy system is unbreakable; we do not warrant that the Service will prevent all unauthorized use of your software.
10. Limitation of liability
To the maximum extent permitted by law: we will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill; and our total aggregate liability arising out of or relating to the Service is limited to the amounts you paid us in the twelve (12) months before the event giving rise to the claim (or USD $50 if you have paid nothing).
11. Indemnity
You will defend and indemnify us against claims arising from your software and content, your distribution of files, your relationships with End Users, or your breach of these Terms.
12. Changes to these Terms
We may update these Terms from time to time. For material changes we will give notice (for example by email or a notice in the dashboard) before the changes take effect. Continuing to use the Service after the effective date means you accept the updated Terms.
13. Governing law
These Terms are governed by the laws of the United States and the state in which Siglock's operator is established, without regard to conflict-of-law rules. Courts located there have exclusive jurisdiction, and each party consents to their venue.
